These Terms and Conditions govern the use of The Fractional Exchange and all services provided through it.

1. Definitions

In these Terms:

“Platform” means the website located at www.fractionalexchange.co.uk and any related services.

“Jobseeker” means an individual seeking employment.

2. Acceptance of Terms

2.1 By accessing or using the Platform you agree to these Terms.

2.2 If you do not agree with these Terms you must not use the Platform.

2.3 If you create an account or submit Content you will be required to expressly accept these Terms.

2.4 You must be at least 18 years old to use the Platform.

3. About the Platform

3.1 The Platform provides an online marketplace for job listings and candidate profiles.

3.2 The Company does not act as an employment agency or employment business unless expressly stated.

3.3 The Platform facilitates introductions only between Employers and Jobseekers.

3.4 The Company:

  • does not verify the identity of all users

  • does not guarantee the accuracy of job listings

  • does not guarantee employment outcomes.

3.5 Any employment relationship formed is solely between the Employer and the Jobseeker.

4. Account Registration

4.1 Certain features require account registration.

4.2 Users must provide accurate information during registration.

4.3 Users must keep login credentials secure.

4.4 You are responsible for all activity under your account.

4.5 We may suspend or terminate accounts where:

  • false information is provided

  • these Terms are breached

  • unlawful activity is suspected.

5. Employer Obligations

Employers using the Platform agree that they will:

5.1 Post genuine employment opportunities only.

5.2 Ensure job advertisements:

  • are accurate

  • are not misleading

  • comply with UK employment law.

5.3 Comply with all applicable laws including:

  • Equality Act 2010

  • UK GDPR

  • Data Protection Act 2018

  • applicable employment laws.

5.4 Not post job listings that:

  • discriminate unlawfully

  • promote illegal activity

  • advertise pyramid schemes

  • misrepresent salary or job conditions.

5.5 Use candidate data only for recruitment purposes.

5.6 Not harvest or sell candidate data obtained via the Platform.

6. Jobseeker Obligations

Jobseekers agree that they will:

6.1 Provide accurate and truthful information in profiles and CVs.

6.2 Not impersonate another person or misrepresent qualifications.

6.3 Use the Platform solely for legitimate job seeking.

6.4 Keep profile information up to date.

7. Content Submission

7.1 Users may submit Content including:

  • job postings

  • CVs

  • profiles

  • messages

  • company information.

7.2 By submitting Content you grant the Company a worldwide, non-exclusive, royalty-free licence to:

  • store

  • process

  • reproduce

  • display

  • distribute

that Content for the purpose of operating and promoting the Platform.

7.3 Users retain ownership of their Content.

7.4 The Company may remove Content that:

  • breaches these Terms

  • violates law or regulation

  • is considered harmful or misleading.

8. Prohibited Content

Users must not post Content that:

  • is unlawful or fraudulent

  • is defamatory or abusive

  • infringes intellectual property rights

  • contains malware or malicious code

  • promotes discrimination or harassment

  • violates privacy or data protection laws.

9. Data Protection

9.1 Personal data is processed in accordance with our Privacy Policy.

9.2 For the purposes of UK GDPR:

  • the Company acts as Data Controller for platform operations

  • Employers act as separate Data Controllers for candidate data they access.

9.3 Employers must process candidate data lawfully and securely.

9.4 Users must not collect or process personal data from the Platform except for legitimate recruitment purposes.

10. Fees and Payment

10.1 Jobseeker use of the Platform is generally free of charge.

10.2 Employers may be charged fees for services including:

  • job postings

  • subscription plans

  • candidate database access.

10.3 All fees are payable in advance unless otherwise agreed.

10.4 Fees are non-refundable except where required by law.

10.5 We may suspend services for non-payment.

11. Intellectual Property

11.1 All intellectual property rights in the Platform belong to the Company or its licensors.

11.2 Users may not:

  • copy

  • reproduce

  • distribute

  • scrape

  • commercially exploit

Platform content without permission.

11.3 Automated scraping, crawling or harvesting of Platform data is prohibited.

12. Platform Availability

12.1 The Platform is provided “as is” and “as available.”

12.2 We do not guarantee:

  • uninterrupted access

  • error-free operation

  • permanent availability.

12.3 We may modify, suspend or discontinue the Platform at any time.

13. Limitation of Liability

Nothing in these Terms limits liability for:

  • death or personal injury caused by negligence

  • fraud or fraudulent misrepresentation

  • liabilities which cannot be excluded under UK law.

Subject to this, the Company will not be liable for:

  • loss of profits

  • loss of business opportunity

  • loss of revenue

  • loss of data

  • indirect or consequential losses.

To the maximum extent permitted by law, the Company’s total liability shall not exceed the amount paid by the user to the Company in the preceding 12 months.

14. Indemnity

Users agree to indemnify the Company against claims arising from:

  • misuse of the Platform

  • breach of these Terms

  • violation of applicable laws

  • infringement of third-party rights.

15. Fraud Prevention and Enforcement

We reserve the right to:

  • remove job listings

  • suspend accounts

  • block access

  • report suspected fraud to authorities.

16. Third-Party Services

The Platform may link to third-party services.

We are not responsible for:

  • third-party websites

  • recruitment processes

  • employment decisions made by employers.

17. Changes to the Terms

17.1 We may update these Terms at any time.

17.2 Updated Terms will be published on the Platform.

17.3 Continued use of the Platform constitutes acceptance of the updated Terms.

18. Termination

18.1 Users may terminate their account at any time.

18.2 We may suspend or terminate accounts if:

  • these Terms are breached

  • fraud is suspected

  • illegal activity occurs.

18.3 Upon termination we may delete user Content and accounts.

19. Third-Party Rights

These Terms do not create rights for third parties under the Contracts (Rights of Third Parties) Act 1999.

20. Severability

If any provision is deemed unenforceable, the remainder of the Terms shall remain valid.

21. Governing Law

These Terms are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
